Event-Specific Terms & Conditions
SECTION 1: LEGAL FOUNDATION
AGREEMENT FORMATION
1.1 This document constitutes a legally binding agreement between Rise and Shine World Inc, in partnership with JAM Global Events (hereinafter referred to as “the Organiser”), and any approved Exhibitor or Participant (hereinafter referred to as “the Participant”) in relation to participation in the RSW Global Trade Expo 2026.
1.2 This Agreement shall be read together with and includes, without limitation:
- The Exhibition Application Form
- The Exhibition Confirmation Form
- The Official Exhibition Prospectus
- The Exhibition Kit / Operational Manual
- Any official written communication issued by the Organiser
1.3 A binding agreement is formed upon the occurrence of any of the following:
- Written confirmation of participation by the Organiser
- Issuance of an official invoice
- Payment (full or partial) of the Event Fees
- Allocation of exhibition space
1.4 By submitting an application, confirming participation, or making payment, the Participant expressly acknowledges that they have read, understood, and agreed to be legally bound by all provisions of this Agreement.
1.5 This Agreement is enforceable under applicable laws and governs all rights, obligations, and responsibilities of both parties in relation to the Event.
2. DEFINITIONS
2.1 “Organiser” means Rise and Shine World Inc, together with its partners, affiliates, contractors, and authorized representatives involved in the planning and execution of the Event.
2.2 “Event” means the RSW Global Trade Expo 2026, including all associated exhibitions, business activities, networking sessions, and related programs.
2.3 “Participant” includes Exhibitors, Delegates, Investors, Government Representatives, Startups, Sponsors, and any individual or entity approved to attend or take part in the Event.
2.4 “Exhibitor” means any entity allocated exhibition space for the purpose of showcasing products, services, or opportunities.
2.5 “Stand” or “Booth” means the designated exhibition space assigned to an Exhibitor.
2.6 “Event Fees” means all financial obligations payable by the Participant, including participation fees, booth fees, service charges, and any additional costs.
2.7 “Venue” means the officially designated location where the Event is held.
2.8 “On-Site Period” includes setup, operational days, and dismantling of the Event.
2.9 “Applicable Laws” means all relevant laws, regulations, codes, and legal requirements in Australia and any applicable international jurisdictions.
2.10 “Force Majeure” refers to any event beyond the reasonable control of the Organiser, including but not limited to natural disasters, government restrictions, pandemics, or emergencies.
3. INTERPRETATION
3.1 In this Agreement, unless the context otherwise requires:
- Words in the singular include the plural and vice versa
- Words importing one gender include all genders
- References to persons include corporations, organizations, and legal entities
3.2 Headings are for convenience only and do not affect interpretation or legal meaning.
3.3 Any reference to legislation includes amendments, re-enactments, or substitutions of such laws.
3.4 Where multiple parties are involved, obligations shall be considered joint and several unless otherwise specified.
3.5 Any ambiguity shall not be interpreted against the drafting party.
4. ENTIRE AGREEMENT
4.1 This Agreement constitutes the entire understanding between the Organiser and the Participant in relation to the Event.
4.2 It supersedes all prior agreements, communications, negotiations, or representations, whether written or oral.
4.3 The Participant confirms that they have not relied on any statement, representation, or promise not expressly included in this Agreement.
5. VARIATIONS / AMENDMENTS
5.1 The Organiser reserves the right to amend, update, or modify this Agreement where necessary to ensure:
- Operational efficiency
- Legal compliance
- Event integrity
5.2 Any amendments shall be communicated through official channels and shall become binding upon issuance.
5.3 Continued participation in the Event after such amendments constitutes acceptance of the updated terms.
5.4 No variation proposed by the Participant shall be valid unless expressly agreed in writing by the Organiser.
6. GOVERNING LAW & JURISDICTION
6.1 This Agreement shall be governed by and interpreted in accordance with the laws of Australia.
6.2 The parties submit to the exclusive jurisdiction of the courts of Australia for the resolution of any legal disputes arising under this Agreement.
6.3 The application of international conventions relating to contracts shall be excluded where permissible.
7. DISPUTE RESOLUTION (ARBITRATION)
7.1 In the event of any dispute, disagreement, or claim arising out of or in connection with this Agreement, the parties shall first attempt to resolve the matter amicably through good faith negotiations.
7.2 If the dispute is not resolved within a reasonable period, it shall be referred to confidential mediation.
7.3 Where mediation fails, the dispute shall be resolved through binding arbitration in Australia in accordance with applicable arbitration laws.
7.4 The decision of the arbitrator shall be final and binding on both parties.
7.5 Each party shall bear its own legal costs unless otherwise determined by the arbitrator.
8. NOTICES
8.1 Any notice or communication required under this Agreement must be:
- In writing
- Clear and legible
- Sent through officially recognized communication channels
8.2 Notices may be delivered via:
- Official registered address
- Authorized digital platforms
8.3 A notice shall be deemed received:
- On the same day if sent electronically during business hours
- On the next business day if sent outside business hours
8.4 The Participant is responsible for ensuring that their contact details are accurate and up to date.
8.5 Failure to receive a notice due to incorrect or outdated contact information shall not invalidate the notice.
SECTION 2: APPLICATION & PARTICIPATION
9. APPLICATION PROCESS
9.1 All interested entities must submit an official Exhibition Application Form through the designated platform or authorized communication channels provided by the Organiser.
9.2 The application must include accurate and complete information, including but not limited to:
- Company or organization details
- Nature of business and sector
- Products or services to be exhibited
- Contact information and authorized representatives
9.3 Submission of an application does not constitute acceptance or guarantee participation in the Event.
9.4 The Organiser reserves the right to request additional documentation, clarification, or supporting materials to assess the suitability of the application.
9.5 The Participant warrants that all information provided is true, accurate, and not misleading. Any false or incomplete information may result in rejection or cancellation of participation without liability to the Organiser.
10. ACCEPTANCE / REJECTION RIGHTS
10.1 The Organiser retains full and absolute discretion to:
- Accept or reject any application
- Approve or decline specific sectors, products, or services
- Limit participation based on strategic, operational, or quality considerations
10.2 Acceptance is based on factors including, but not limited to:
- Relevance to the Event’s objectives
- Industry alignment
- Professional standards
- Availability of space
10.3 The Organiser is not obligated to provide reasons for rejection of any application.
10.4 The Organiser reserves the right to revoke acceptance at any stage if:
- False information is discovered
- The Participant breaches this Agreement
- Participation is deemed unsuitable for the Event
10.5 Any such decision shall be final and not subject to dispute.
11. ALLOCATION OF EXHIBITION SPACE
11.1 Exhibition space is allocated at the sole discretion of the Organiser, based on:
- Package level
- Application date and confirmation status
- Sector alignment and Event zoning strategy
11.2 The Organiser reserves the right to:
- Allocate, reallocate, or adjust space as necessary
- Modify the floor plan and exhibition layout
- Relocate Participants where required for operational efficiency
11.3 No Participant shall have the right to a specific location unless expressly confirmed in writing by the Organiser.
11.4 The Organiser may implement zoning strategies, including but not limited to:
- Industry sectors
- Country pavilions
- Innovation and startup zones
- Corporate and institutional areas
11.5 Any changes to space allocation shall not constitute a breach of this Agreement, provided reasonable alternatives are offered.
12. CONFIRMATION OF PARTICIPATION
12.1 Participation is confirmed only upon:
- Formal approval by the Organiser
- Issuance of confirmation or invoice
- Fulfilment of payment obligations
12.2 The Organiser shall issue an official confirmation outlining:
- Allocated space or participation category
- Payment details
- Participation guidelines
12.3 The Participant acknowledges that confirmation is conditional upon continued compliance with this Agreement.
12.4 Failure to meet any requirements, including payment deadlines or documentation submission, may result in withdrawal of confirmation.
13. PARTICIPATION ELIGIBILITY
13.1 Participation is open to qualified entities including:
- Corporations and enterprises
- Small and Medium Enterprises (SMEs)
- Startups and innovators
- Government institutions and agencies
- Financial institutions and investors
- Academic and research institutions
- NGOs and international organizations
13.2 All Participants must operate within legal and ethical frameworks in their respective jurisdictions.
13.3 The Organiser reserves the right to restrict or exclude participation from entities that:
- Engage in unlawful activities
- Conflict with the Event’s mission, values, or standards
- Pose reputational or operational risks
13.4 Participation is strictly non-transferable without prior written approval from the Organiser.
14. CODE OF CONDUCT
14.1 All Participants are required to maintain the highest standards of professionalism, integrity, and respect throughout the Event.
14.2 Participants shall:
- Conduct business in a lawful and ethical manner
- Respect other participants, visitors, and organizers
- Avoid any conduct that may disrupt the Event
14.3 The following behaviors are strictly prohibited:
- Fraudulent or misleading representation
- Harassment, discrimination, or inappropriate conduct
- Disruptive, unsafe, or unethical activities
- Unauthorized use of Event branding or identity
14.4 The Organiser reserves the right to take immediate action, including removal from the Event, against any Participant who breaches this Code of Conduct.
14.5 Such actions may be taken without refund or compensation and without prejudice to any further legal rights of the Organiser.
15. PROFESSIONAL STANDARDS REQUIREMENT
15.1 Participants are expected to operate at international trade and business standards, ensuring quality, credibility, and professionalism.
15.2 Exhibitors must ensure that:
- All products and services presented are genuine, lawful, and of acceptable quality
- Branding, displays, and presentations meet professional exhibition standards
- Staff are appropriately trained, presentable, and capable of engaging in business discussions
15.3 The Organiser reserves the right to:
- Inspect and assess exhibition standards
- Require improvements or modifications
- Restrict or remove substandard displays or activities
15.4 Participants must uphold the reputation and image of the Event as a premium international trade platform.
15.5 Failure to meet professional standards may result in:
- Corrective directives
- Restricted participation
- Removal from the Event without refund
SECTION 3: EVENT STRUCTURE & OPERATIONS
16. EVENT DESCRIPTION & SCOPE
16.1 The RSW Global Trade Expo 2026 is established as a high-level international trade, investment, and business platform designed to facilitate global engagement across multiple sectors and industries.
16.2 The Event provides a structured environment for:
- Exhibition of products and services
- Business-to-Business (B2B) engagement
- Business-to-Government (B2G) interaction
- Investment opportunities and deal facilitation
- Market expansion and global networking
16.3 The scope of the Event includes, but is not limited to:
- Exhibition activities
- Business matchmaking sessions
- Product demonstrations
- Investment and partnership engagements
- Networking platforms and structured business interactions
16.4 The Event is positioned as a commercial and results-driven platform, and not merely a public exhibition, and all activities must align with this objective.
16.5 The Organiser reserves the right to define, expand, restrict, or modify the scope of the Event to ensure alignment with strategic, operational, and commercial objectives.
17. EVENT DATES & DURATION
17.1 The Event shall be held on the official dates communicated by the Organiser, forming part of the RSW International Festival 2026 calendar.
17.2 The Event Duration includes:
- Official exhibition days
- Business engagement sessions
- Any associated programmed activities
17.3 The Organiser reserves the right to:
- Adjust event dates where necessary
- Extend or shorten the duration of the Event
- Integrate the Event with other aligned activities within the Festival
17.4 Any such adjustments shall be communicated through official channels and shall not constitute a breach of this Agreement.
18. OPERATIONAL HOURS
18.1 The operational hours of the Event shall be determined solely by the Organiser and communicated prior to commencement.
18.2 Operational hours may vary depending on:
- Business sessions
- Trade-only access periods
- Public access periods (where applicable)
18.3 Participants are required to:
- Ensure full operational presence during official hours
- Maintain active engagement within their allocated spaces
18.4 Early closure, delayed opening, or absence during operational hours without prior approval may be considered a breach of participation obligations.
18.5 The Organiser reserves the right to adjust operational hours where necessary for:
- Operational efficiency
- Security reasons
- External circumstances
19. VENUE & VENUE RULES
19.1 The Event shall be hosted at an officially designated venue in Australia, as communicated by the Organiser.
19.2 All Participants must comply with:
- Venue rules and regulations
- Health and safety requirements
- Security protocols
- Operational guidelines issued by the venue management
19.3 Participants shall not:
- Damage or alter venue property
- Use prohibited materials or equipment
- Engage in activities that violate venue policies
19.4 The Organiser reserves the right to enforce all venue rules and to take necessary action in case of non-compliance.
19.5 Any costs arising from damage or violation of venue rules shall be the sole responsibility of the Participant.
20. ON-SITE PERIOD (SETUP & DISMANTLING)
20.1 The On-Site Period includes:
- Move-in (setup and installation)
- Event operational days
- Move-out (dismantling and removal)
20.2 The schedule for setup and dismantling shall be strictly defined and communicated by the Organiser.
20.3 Participants must:
- Complete setup within the allocated timeframe
- Ensure all installations meet safety and operational standards
- Dismantle and remove all materials within the specified period
20.4 Early dismantling or delayed setup without approval is strictly prohibited and may result in penalties or restricted participation.
20.5 The Organiser reserves the right to:
- Remove incomplete or non-compliant setups
- Dispose of materials left beyond the dismantling deadline at the Participant’s cost
21. EVENT LAYOUT & FLOOR PLAN
21.1 The Event shall be organized based on a structured floor plan designed to optimize:
- Visitor flow
- Sector representation
- Business interaction
21.2 The floor plan may include designated zones such as:
- Industry sectors
- Country pavilions
- Corporate exhibition areas
- Startup and innovation zones
- Investment and networking areas
21.3 The Organiser reserves full control over:
- Design and structure of the floor plan
- Allocation and positioning of Participants
- Movement and reconfiguration of zones
21.4 Participants must adhere strictly to their allocated space and shall not:
- Extend beyond designated boundaries
- Obstruct aisles or common areas
- Interfere with neighboring spaces
21.5 Any unauthorized modification to the allocated space is prohibited and may result in corrective action.
22. RIGHT TO MODIFY EVENT STRUCTURE
22.1 The Organiser reserves the absolute right to modify any aspect of the Event structure, including but not limited to:
- Floor plan and layout
- Participant positioning
- Event schedule and programming
- Operational procedures
22.2 Such modifications may be made where necessary for:
- Operational efficiency
- Safety and compliance
- Strategic positioning of the Event
- Enhancement of participant experience
22.3 Participants agree that such modifications shall not constitute grounds for:
- Cancellation of participation
- Claims for compensation
- Disputes against the Organiser
22.4 The Organiser shall make reasonable efforts to communicate significant changes in a timely manner.
22.5 The Organiser’s decision regarding Event structure and operations shall be final.
SECTION 4: FINANCIAL TERMS
23. EVENT FEES & PRICING
23.1 All participation fees for the RSW Global Trade Expo 2026 are outlined in the official Exhibition Prospectus or as otherwise communicated by the Organiser.
23.2 Event Fees may include, but are not limited to:
- Exhibition booth fees
- Participation packages
- Sponsorship contributions
- Service and administrative charges
23.3 All pricing is determined based on:
- Package category
- Booth size and location
- Level of participation
- Strategic positioning within the Event
23.4 The Organiser reserves the right to:
- Adjust pricing structures
- Introduce additional packages or services
- Modify fees prior to confirmation of participation
23.5 Once participation is confirmed, the agreed Event Fees shall be binding and not subject to renegotiation.
24. PAYMENT TERMS
24.1 Payment of Event Fees is a mandatory condition for participation.
24.2 Payment schedules shall be defined by the Organiser and may include:
- Deposit payments
- Installment plans
- Full payment requirements
24.3 Unless otherwise agreed in writing:
- A deposit is required to secure participation
- Full payment must be completed prior to the Event
24.4 The Organiser shall issue official invoices outlining:
- Payment amounts
- Due dates
- Payment instructions
24.5 Participation rights, including booth allocation and access, are only granted upon confirmed payment.
25. LATE PAYMENT PENALTIES
25.1 Any payment not received by the specified due date shall be considered overdue.
25.2 The Organiser reserves the right to apply:
- Interest on overdue amounts
- Administrative penalties
- Suspension of participation rights
25.3 Interest on late payments may be charged at a rate determined by the Organiser, calculated from the due date until full payment is received.
25.4 Continued delay in payment may result in:
- Cancellation of participation
- Reallocation of exhibition space
- Forfeiture of previously paid amounts
26. CURRENCY & TAXES (GST, VAT, DUTIES)
26.1 All Event Fees are payable in United States Dollars (USD) unless otherwise specified by the Organiser.
26.2 Participants are responsible for all applicable taxes, including but not limited to:
- Goods and Services Tax (GST)
- Value Added Tax (VAT)
- Withholding taxes
- Import/export duties
26.3 Any bank charges, currency conversion fees, or transaction costs shall be borne entirely by the Participant.
26.4 Payments must be made in full without deductions, set-offs, or delays due to taxation or currency issues.
26.5 The Organiser shall not be responsible for any financial losses arising from currency fluctuations.
27. ADDITIONAL COSTS & CHARGES
27.1 The Event Fees do not include additional services unless explicitly stated.
27.2 Participants shall be responsible for all additional costs, including but not limited to:
- Booth customization and design
- Logistics, shipping, and freight
- Storage and handling
- Travel and accommodation
- Utilities and technical services
- Insurance coverage
27.3 Any optional services requested by the Participant shall be:
- Subject to availability
- Charged separately
- Payable in accordance with the Organiser’s terms
27.4 Failure to settle additional charges may result in suspension of related services or participation privileges.
28. REFUND POLICY (STRICT NO REFUND CLAUSE)
28.1 All payments made to the Organiser are strictly non-refundable under any circumstances.
28.2 By confirming participation, the Participant expressly acknowledges and agrees that:
- No refunds shall be issued for any reason whatsoever
- Payments made are final, binding, and non-reversible
28.3 This strict no-refund policy applies without limitation to:
- Cancellation by the Participant
- Failure to attend the Event
- Visa refusal or immigration issues
- Travel restrictions or personal circumstances
- Business-related decisions or financial constraints
- Force majeure events affecting the Participant
- Changes in market conditions or internal business priorities
28.4 The Participant further agrees that:
- No chargebacks, reversals, or disputes shall be initiated through financial institutions
- Any attempt to recover funds outside this Agreement shall constitute a breach of contract
28.5 The Organiser shall not be liable for any financial loss arising from the Participant’s inability to attend or participate.
28.6 Any exception to this clause shall only be considered at the sole and absolute discretion of the Organiser and must be confirmed in writing.
29. CANCELLATION FEES
29.1 Cancellation requests must be submitted in writing to the Organiser.
29.2 Regardless of the timing of cancellation, no refund shall be issued, and all payments shall be retained by the Organiser.
29.3 The Participant acknowledges that:
- The Organiser incurs significant planning, operational, and contractual commitments
- Cancellation impacts the commercial structure of the Event
29.4 Any cancellation shall not relieve the Participant from:
- Outstanding payments
- Contractual obligations
30. NON-PAYMENT CONSEQUENCES
30.1 Failure to make required payments constitutes a material breach of this Agreement.
30.2 In the event of non-payment, the Organiser reserves the right to:
- Cancel participation without notice
- Reallocate exhibition space
- Deny access to the Event
- Retain all previously paid amounts
30.3 The Participant shall remain liable for:
- Outstanding balances
- Any losses incurred by the Organiser due to non-payment
30.4 The Organiser reserves the right to pursue recovery of unpaid amounts through:
- Legal action
- Debt collection processes
30.5 Non-payment may result in restriction from participation in future events organized by Rise and Shine World Inc.
SECTION 5: EXHIBITION SPACE & BOOTH RULES
31. STAND ALLOCATION
31.1 All exhibition stands are allocated by the Organiser based on:
- Participation package level
- Date of confirmation and payment
- Sector alignment and zoning strategy
- Operational and strategic considerations
31.2 The Organiser retains full discretion over stand allocation and positioning within the Event.
31.3 Allocation of a specific stand or location shall only be valid if confirmed in writing by the Organiser.
31.4 The Participant acknowledges that:
- Stand allocation is part of a broader event design strategy
- No guarantee is provided for specific locations unless contractually agreed

45. STAFF CONDUCT

67. STORAGE & HANDLING

- Security presence does not eliminate risks of loss or damage
70.4 Exhibitors are strongly advised to:
- Arrange their own stand-specific security where necessary
- Secure valuable items at all times
71. RISK OF LOSS
71.1 All property brought into the Event by the Exhibitor shall remain entirely at the Exhibitor’s own risk.
71.2 This includes:
- Exhibition materials
- Products and equipment
- Personal belongings
71.3 The Exhibitor assumes full responsibility for:
- Loss
- Damage
- Destruction
regardless of the cause.
71.4 The risk applies at all times, including:
- Transportation
- Setup and dismantling

72. THEFT & DAMAGE DISCLAIMER
72.1 The Organiser shall not be liable for any loss, theft, or damage to the Exhibitor’s property under any circumstances.

- Theft by third parties
- Accidental damage
- Fire, water, or environmental incidents
- Acts of negligence by third parties
72.3 The Exhibitor expressly waives any claims against the Organiser relating to such losses.

73. ACCESS CONTROL

75.3 The minimum coverage required shall be not less than USD $10,000,000 (or equivalent in AUD) per occurrence.

78.1 The Exhibitor must provide a valid Certificate of Insurance to the Organiser as proof of compliance with all insurance requirements.
78.2 The Certificate must:
- Be issued by the insurer
- Clearly state coverage details
- Include the Event duration
- Name the Organiser as an interested party where applicable
78.3 Submission of the Certificate must be completed:
- Prior to the Event
- Within the deadline specified by the Organiser
78.4 Failure to provide the required Certificate may result in:
- Denial of access to the Event
- Cancellation of participation
- Forfeiture of all fees
SECTION 12: LIABILITY & LEGAL PROTECTION
79. LIMITATION OF LIABILITY
79.1 To the fullest extent permitted by applicable law, the Organiser’s total liability arising out of or in connection with the Event shall be strictly limited.
79.2 The Organiser shall not be liable for any loss, damage, cost, or expense incurred by the Exhibitor except where such liability cannot be excluded by law.
79.3 Where liability cannot be excluded, the Organiser’s liability shall be limited, at its sole discretion, to:
- The re-supply of services; or
- The refund of fees paid by the Exhibitor
79.4 The Exhibitor agrees that participation in the Event is undertaken entirely at its own risk.
80. EXCLUSION OF INDIRECT LOSS
80.1 To the fullest extent permitted by law, the Organiser shall not be liable for any indirect, incidental, special, or consequential loss.
80.2 This includes, but is not limited to:
- Loss of profit
- Loss of business opportunity
- Loss of revenue
- Loss of contracts
- Loss of goodwill or reputation
80.3 This exclusion applies regardless of whether such loss arises in:
- Contract
- Tort (including negligence)
- Statutory liability
81. INDEMNITY CLAUSE
81.1 The Exhibitor agrees to indemnify, defend, and hold harmless the Organiser, its officers, employees, agents, and partners from and against any and all claims, liabilities, damages, losses, and expenses.
81.2 This includes legal costs on a full indemnity basis arising out of or in connection with:
- Any breach of these Terms and Conditions
- Any negligent, unlawful, or wrongful act or omission by the Exhibitor
- Any activity conducted within the Exhibitor’s stand
- Any products or services provided by the Exhibitor
81.3 This indemnity shall apply regardless of whether the claim arises during or after the Event.
82. THIRD-PARTY CLAIMS
82.1 The Exhibitor shall be solely responsible for any claims made by third parties arising from:
- Their participation in the Event
- Their products or services
- Their business activities
82.2 The Exhibitor agrees to indemnify the Organiser against all third-party claims, including:
- Personal injury
- Property damage
- Financial loss
82.3 The Organiser shall not be responsible for resolving disputes between:
- Exhibitors
- Buyers and sellers
- Any third parties
83. DAMAGE TO PROPERTY
83.1 The Exhibitor shall be fully responsible for any damage caused to:
- The Venue
- Event infrastructure
- Equipment
- Property of other participants
83.2 The Exhibitor agrees to:
- Repair or compensate for any damage caused
- Pay all associated costs without delay
83.3 The Organiser reserves the right to:
- Recover damages directly from the Exhibitor
- Withhold participation privileges where necessary
83.4 The Organiser shall not be liable for any damage to the Exhibitor’s property under any circumstances.
SECTION 13: CANCELLATION & FORCE MAJEURE
84. CANCELLATION BY ORGANISER
84.1 The Organiser reserves the absolute right to cancel the Event at any time due to circumstances including, but not limited to:
- Insufficient participation
- Operational constraints
- Safety concerns
- Government directives or restrictions
- Any situation deemed necessary by the Organiser
84.2 In such circumstances, the Organiser may, at its sole discretion:
- Reschedule the Event; or
- Convert the Event into an alternative format (including virtual or hybrid)
84.3 The Organiser shall not be liable for:
- Any losses, damages, or expenses incurred by the Exhibitor
- Travel, accommodation, logistics, or business-related costs
84.4 All payments made shall remain non-refundable, unless otherwise determined at the sole discretion of the Organiser.
85. CANCELLATION BY EXHIBITOR
85.1 Any cancellation by the Exhibitor must be submitted in writing to the Organiser.
85.2 All payments made by the Exhibitor are strictly non-refundable under any circumstances, including but not limited to:
- Change of business plans
- Inability to attend
- Visa issues
- Travel restrictions
- Financial constraints
85.3 The Exhibitor remains liable for:
- Any outstanding payments
- Any contractual obligations
85.4 Cancellation does not release the Exhibitor from any financial commitments under this Agreement.
86. POSTPONEMENT OF EVENT
86.1 The Organiser reserves the right to postpone the Event to a later date where necessary.
86.2 In the event of postponement:
- All bookings and payments shall remain valid
- Participation shall be transferred to the new Event date
86.3 The Exhibitor shall not be entitled to:
- Cancellation
- Refund
- Compensation
due to postponement.
86.4 The Organiser shall not be liable for any losses resulting from postponement.
87. FORCE MAJEURE
87.1 The Organiser shall not be liable for any failure or delay in performance resulting from events beyond its reasonable control.
87.2 Such events include, but are not limited to:
- Natural disasters
- Pandemics or public health emergencies
- War, terrorism, or civil unrest
- Strikes or labor disputes
- Power failures or infrastructure breakdown
- Any unforeseeable or unavoidable event
87.3 In the event of Force Majeure:
- The Organiser may suspend, modify, postpone, or cancel the Event
87.4 All payments shall remain non-refundable, and the Exhibitor shall not be entitled to compensation.
88. GOVERNMENT RESTRICTIONS
88.1 Where government laws, regulations, or directives affect the Event, including:
- Lockdowns
- Public gathering restrictions
- Health regulations
- Border closures
the Organiser reserves the right to:
- Modify Event format
- Postpone or reschedule
- Restrict participation
88.2 The Exhibitor agrees that:
- Such circumstances are beyond the control of the Organiser
- No liability shall arise against the Organiser
88.3 All payments remain non-refundable, regardless of the impact of government restrictions.
89. TRAVEL RESTRICTIONS
89.1 The Exhibitor acknowledges that international and domestic travel may be subject to restrictions.
89.2 The Exhibitor is solely responsible for:
- Travel arrangements
- Visa applications
- Compliance with immigration requirements
89.3 In the event that the Exhibitor is unable to attend due to travel restrictions:
- No refund shall be issued
- Participation may be transferred to a representative where possible
89.4 The Organiser shall not be liable for:
- Travel disruptions
- Visa denials
- Border control decisions
SECTION 14: TERMINATION & DEFAULT
90. BREACH OF AGREEMENT
90.1 A breach of this Agreement occurs where the Exhibitor fails to comply with any obligation, requirement, or condition set out in these Terms and Conditions.
90.2 Breaches include, but are not limited to:
- Non-compliance with Event rules or regulations
- Violation of applicable laws
- Failure to meet operational or safety requirements
- Misrepresentation of products or services
- Unauthorized use of exhibition space
90.3 The Organiser reserves the right to determine, at its sole discretion, whether a breach has occurred.
90.4 Upon identification of a breach, the Organiser may:
- Issue a notice requiring immediate rectification; or
- Take direct action where the breach is serious or urgent
91. TERMINATION RIGHTS
91.1 The Organiser reserves the absolute right to terminate the Exhibitor’s participation at any time where:
- A material breach has occurred
- The Exhibitor fails to comply with instructions
- The Exhibitor’s conduct negatively impacts the Event
91.2 Termination may occur:
- With or without prior notice
- Immediately where required for operational, legal, or safety reasons
91.3 Upon termination:
- All rights of participation shall cease immediately
- The Exhibitor must vacate the Event premises as directed
91.4 Termination does not affect any accrued rights or obligations under this Agreement.
92. DEFAULT IN PAYMENT
92.1 The Exhibitor shall strictly comply with all payment obligations as outlined in this Agreement.
92.2 Failure to make payment by the specified due date shall constitute a material breach.
92.3 In the event of payment default, the Organiser reserves the right to:
- Suspend participation rights
- Cancel stand allocation
- Reallocate space to another participant
92.4 The Exhibitor shall remain liable for:
- The full amount payable
- Any additional costs incurred due to the default
92.5 No participation shall be permitted until all outstanding payments are fully settled.
93. REMOVAL FROM EVENT
93.1 The Organiser reserves the right to remove the Exhibitor or any of its representatives from the Event where necessary.
93.2 Grounds for removal include:
- Breach of Agreement
- Non-compliance with rules or laws
- Disruptive or inappropriate conduct
- Safety or security risks
93.3 Removal may be executed:
- Immediately
- Without prior notice
93.4 The Exhibitor shall:
- Comply with all removal instructions
- Bear all costs associated with removal
93.5 The Organiser shall not be liable for any losses arising from such removal.
94. FORFEITURE OF FEES
94.1 In the event of:
- Breach of Agreement
- Termination of participation
- Removal from the Event
- Payment default
all fees paid by the Exhibitor shall be immediately forfeited.
94.2 The Exhibitor shall not be entitled to:
- Refund
- Compensation
- Credit
under any circumstances related to termination or default.
94.3 Any outstanding payments shall remain payable in full.
94.4 The forfeiture of fees shall not limit the Organiser’s right to:
- Pursue additional claims
- Recover damages or losses
SECTION 15: DATA, MEDIA & INTELLECTUAL PROPERTY
95. INTELLECTUAL PROPERTY RIGHTS
95.1 All intellectual property rights related to the Event, including but not limited to:
- Event name
- Event concept and structure
- Branding elements
- Logos, designs, and materials
shall remain the exclusive property of the Organiser or its licensors.
95.2 Participation in the Event does not grant the Exhibitor any ownership rights in the Event’s intellectual property.
95.3 The Exhibitor retains ownership of its own intellectual property, including:
- Trademarks
- Product designs
- Marketing materials
95.4 The Exhibitor warrants that:
- All materials displayed do not infringe third-party intellectual property rights
- They have full rights to use all content presented
95.5 The Exhibitor agrees to indemnify the Organiser against any claims arising from intellectual property infringement.
96. USE OF LOGOS & BRANDING
96.1 The Exhibitor may use the Event name and branding solely for promotional purposes related to their participation.
96.2 Any such use must:
- Be accurate and not misleading
- Not imply endorsement or partnership unless officially approved
96.3 The Organiser reserves the right to:
- Approve or reject branding usage
- Request removal of unauthorized or improper use
96.4 Unauthorized use of the Organiser’s intellectual property may result in:
- Immediate action
- Removal from the Event
- Legal proceedings
97. PHOTOGRAPHY & MEDIA RIGHTS
97.1 The Organiser reserves the right to capture, record, and produce:
- Photographs
- Videos
- Audio recordings
- Digital content
during the Event.
97.2 By participating in the Event, the Exhibitor grants the Organiser:
- A worldwide, royalty-free, perpetual license
- The right to use, reproduce, distribute, and publish such media
for purposes including:
- Marketing and promotion
- Media publications
- Digital and broadcast content
97.3 The Exhibitor acknowledges that:
- No compensation shall be payable for such use
- All media rights belong to the Organiser
97.4 The Exhibitor may not record or broadcast Event content for commercial purposes without prior written approval.
98. DATA PROTECTION & PRIVACY
98.1 The Organiser shall collect and process personal data in accordance with applicable data protection laws.
98.2 Data collected may include:
- Registration details
- Business information
- Contact information
98.3 The Exhibitor consents to:
- Collection, storage, and processing of data
- Use of data for Event administration and communication
98.4 The Organiser may share relevant participant information with:
- Event partners
- Sponsors
- Service providers
for Event-related purposes only.
98.5 The Organiser shall implement reasonable measures to protect personal data but shall not be liable for:
- Unauthorized access beyond its control
99. MARKETING CONSENT
99.1 By participating in the Event, the Exhibitor consents to receive:
- Event updates
- Promotional communications
- Future event information
from the Organiser.
99.2 The Exhibitor also agrees that their:
- Company name
- Logo
- Profile
may be used in:
- Event marketing materials
- Exhibitor directories
- Online platforms
99.3 The Exhibitor may request limited restrictions on marketing use in writing; however, the Organiser retains the right to use basic participation information for Event promotion.
SECTION 16: PROFESSIONAL CONTROL & GOVERNANCE
100. ORGANISER AUTHORITY
100.1 The Organiser shall have full authority over the planning, management, execution, and overall governance of the Event.
100.2 This authority includes, but is not limited to:
- Event structure and operations
- Participant management
- Space allocation and usage
- Enforcement of rules and policies
100.3 The Exhibitor acknowledges and agrees that:
- The Organiser’s role is to maintain a professional, safe, and high-standard international Event environment
- All decisions made by the Organiser are necessary for the effective delivery of the Event
100.4 Participation in the Event constitutes full acceptance of the Organiser’s authority.
101. RIGHT TO ENFORCE RULES
101.1 The Organiser reserves the absolute right to enforce all Terms and Conditions, rules, and regulations applicable to the Event.
101.2 Enforcement actions may include:
- Issuing warnings or directives
- Restricting specific activities
- Suspending participation rights
- Removing Exhibitors or representatives
101.3 The Organiser may take immediate action where:
- Compliance is not met
- Safety or operational risks arise
- The integrity of the Event is affected
101.4 The Exhibitor agrees to:
- Comply with all enforcement actions
- Not obstruct or challenge enforcement during the Event
102. RIGHT TO AMEND CONDITIONS
102.1 The Organiser reserves the right to amend, update, or modify these Terms and Conditions at any time where necessary.
102.2 Amendments may be made to:
- Reflect legal or regulatory requirements
- Improve Event operations
- Address unforeseen circumstances
102.3 Any updated Terms shall:
- Become effective upon communication to Participants
- Be binding on all Exhibitors
102.4 Continued participation in the Event shall constitute acceptance of any amended Terms and Conditions.
103. FINAL DECISION AUTHORITY
103.1 The Organiser shall have the final and binding authority on all matters relating to the Event.
103.2 This includes decisions regarding:
- Interpretation of these Terms and Conditions
- Participation eligibility
- Operational and logistical matters
- Disputes between participants
103.3 The Exhibitor agrees that:
- The Organiser’s decisions are final and conclusive
- No dispute shall delay or disrupt Event operations
103.4 The Organiser is not required to provide justification for decisions made in the interest of the Event.
SECTION 17: INTERNATIONAL PARTICIPATION
104. VISA & IMMIGRATION COMPLIANCE
104.1 All international Participants, including Exhibitors, delegates, and representatives, are solely responsible for obtaining:
- Valid visas
- Travel authorizations
- Any required entry permits
necessary to enter and participate in the Event in the hosting country.
104.2 The Organiser may provide:
- Invitation letters
- Supporting documentation
however, such support does not:
- Guarantee visa approval
- Constitute responsibility for immigration outcomes
104.3 The Participant acknowledges that:
- Visa approval is at the sole discretion of the relevant immigration authorities
- The Organiser has no control over visa decisions
104.4 The Organiser shall not be liable for:
- Visa refusals
- Delays in visa processing
- Costs incurred due to visa issues
105. RESPONSIBILITY TO RETURN TO COUNTRY
105.1 All international Participants are strictly required to:
- Comply with the immigration laws of the host country
- Exit the country within the validity period of their visa
105.2 The Participant acknowledges that:
- Participation in the Event is temporary and does not grant residency or employment rights
105.3 Any Participant who:
- Overstays their visa
- Violates immigration conditions
shall bear full legal responsibility.
105.4 The Organiser shall not be held liable for:
- Immigration violations committed by Participants
- Any legal consequences arising from such violations
105.5 The Participant agrees to indemnify the Organiser against any claims, penalties, or liabilities arising from non-compliance with immigration laws.
106. COMPLIANCE WITH INTERNATIONAL TRAVEL LAWS
106.1 All Participants shall comply with:
- International travel regulations
- Border control requirements
- Health and entry protocols
applicable at the time of travel and participation.
106.2 This includes compliance with:
- Customs declarations
- Health checks and vaccination requirements
- Security and travel documentation
106.3 The Participant is solely responsible for:
- Ensuring eligibility to travel
- Meeting all entry and exit requirements
106.4 The Organiser shall not be liable for:
- Denied boarding
- Entry refusal
- Travel disruptions
107. GOVERNMENT DELEGATION PARTICIPATION
107.1 Government delegations participating in the Event shall:
- Comply with all applicable laws and Event regulations
- Coordinate with the Organiser for official representation
107.2 Delegations may include:
- Ministries and government agencies
- Trade and investment authorities
- Diplomatic representatives
107.3 Government participants shall be responsible for:
- Their official activities
- Compliance with diplomatic and legal protocols
107.4 The Organiser reserves the right to:
- Coordinate official country participation
- Allocate pavilion space
- Manage protocol and representation
107.5 Participation by any government delegation does not:
- Imply political endorsement by the Organiser
- Create any diplomatic or legal obligation
SECTION 18: FINAL LEGAL CLAUSES
108. RELATIONSHIP OF PARTIES
108.1 Nothing in this Agreement shall be deemed to create any relationship of:
- Partnership
- Joint venture
- Agency
- Employment
between the Organiser and the Exhibitor.
108.2 The Exhibitor participates in the Event as an independent entity and shall not:
- Represent itself as an agent or representative of the Organiser
- Bind or commit the Organiser in any manner
108.3 Each party shall act independently and shall be solely responsible for its own business operations, obligations, and liabilities.
109. SEVERABILITY
109.1 If any provision of this Agreement is determined to be:
- Invalid
- Illegal
- Unenforceable
by a court or competent authority, such provision shall be severed from the Agreement.
109.2 The remaining provisions shall:
- Continue in full force and effect
- Not be affected by the invalid provision
109.3 The parties agree to replace any invalid provision with a valid provision that most closely reflects the original intent.
110. SURVIVAL OF CLAUSES
110.1 Any provisions which by their nature are intended to survive termination or completion of the Event shall remain in full force and effect.
110.2 Such provisions include, but are not limited to:
- Liability and indemnity
- Payment obligations
- Intellectual property rights
- Confidentiality and data protection
- Dispute resolution
110.3 Survival of these clauses shall continue:
- After termination
- After completion of the Event
- Regardless of the reason for termination
111. WAIVER
111.1 Failure by the Organiser to enforce any provision of this Agreement shall not constitute a waiver of that provision.
111.2 Any waiver must:
- Be in writing
- Be signed by an authorized representative of the Organiser
111.3 A waiver of one breach shall not:
- Constitute a waiver of any subsequent breach
- Affect the Organiser’s right to enforce the Agreement in the future
112. ASSIGNMENT RESTRICTIONS
112.1 The Exhibitor shall not assign, transfer, or delegate any of its rights or obligations under this Agreement without prior written consent from the Organiser.
112.2 Any unauthorized assignment shall be:
- Void
- Considered a breach of this Agreement
112.3 The Organiser reserves the right to assign or transfer its rights and obligations where necessary for:
- Operational purposes
- Event management
- Business restructuring
SECTION 19: ACCEPTANCE BY SUBMISSION
113. ACCEPTANCE BY SUBMISSION
113.1 By submitting an application, registration, or any form of participation request for the RSW Global Trade Expo 2026, the Participant hereby expressly confirms that they have:
- Carefully read, fully understood, and acknowledged these Terms and Conditions in their entirety
- Accepted all provisions, obligations, responsibilities, and requirements set out in this Agreement
- Agreed to be legally bound by this document in full, without limitation or reservation
113.2 Submission of any of the following shall constitute full, unconditional, and legally binding acceptance of these Terms and Conditions:
- Online application form
- Registration form
- Exhibition booking
- Participation request
- Any official submission through Event platforms or authorized communication channels
113.3 Such submission shall be deemed to create a valid and enforceable agreement between the Participant and the Organiser, effective immediately upon submission.
114. ACCEPTANCE BY PAYMENT
114.1 Payment of any participation fee, deposit, or related charge by the Participant shall constitute:
- Full, irrevocable, and unconditional acceptance of these Terms and Conditions
- A legally binding contractual agreement between the Participant and the Organiser
114.2 The Participant acknowledges and agrees that:
- No separate physical or written signature shall be required for this Agreement to be valid and enforceable
- Financial commitment confirms acceptance of all associated legal, financial, and operational obligations
114.3 Any payment made shall be deemed as clear evidence of the Participant’s intention to be fully bound by this Agreement.
115. ELECTRONIC ACCEPTANCE VALIDITY
115.1 The Participant acknowledges and agrees that:
- Electronic submissions, confirmations, and communications shall constitute valid legal acceptance
- Digital consent shall have the same legal force and effect as a handwritten or formally executed signature
115.2 Any agreement formed through electronic means, including but not limited to online platforms, email confirmations, or digital systems, shall be considered legally binding and enforceable.
115.3 The Participant waives any right to challenge the validity of this Agreement on the basis that it was accepted electronically.
116. ACCEPTANCE ON BEHALF OF ORGANIZATION
116.1 Where an individual submits an application, registration, or participation request on behalf of a company, organization, government entity, or institution, that individual expressly represents and warrants that they:
- Are duly authorized to act on behalf of such entity
- Possess full authority to legally bind the entity to this Agreement
116.2 The entity represented shall be fully responsible for:
- Compliance with all Terms and Conditions
- All actions, omissions, and obligations arising from participation
116.3 The Organiser shall not be required to verify such authority and shall be entitled to rely on the submission as valid and binding.
117. NO CONDITIONAL ACCEPTANCE
117.1 Participation in the Event is strictly based on full, unconditional acceptance of these Terms and Conditions.
117.2 Any attempt by the Participant to:
- Modify
- Alter
- Amend
- Add conditions
to this Agreement shall be deemed invalid, null, and without legal effect unless expressly approved in writing by the Organiser.
117.3 No alternative terms or conditions proposed by the Participant shall apply, even if submitted alongside or in connection with participation documents.
118. FINAL CONFIRMATION
118.1 By proceeding with submission, registration, payment, or participation, the Participant expressly confirms and acknowledges that:
- They accept all Terms and Conditions without limitation, exception, or modification
- They fully understand their legal, financial, and operational obligations under this Agreement
- They agree to comply strictly with all Event rules, regulations, and requirements
118.2 This confirmation shall constitute a final and binding acknowledgment of the Participant’s commitment to the RSW Global Trade Expo 2026 and its governing framework.
